These Standard Trading Terms & Conditions (“Conditions”) constitute a legally binding contract between Buconic Logistics Limited, a company incorporated in the Republic of Uganda, together with its subsidiaries, affiliates, agents, subcontractors, drivers, and representatives (“Buconic”), and the Customer.

Where Buconic provides Services subject to specific Terms of Service, Quotations, Waybills, Service Agreements, SLAs, Platform Terms, or Product-Specific Conditions, such documents shall, to the extent of any inconsistency, prevail in relation to the relevant Service, but these Conditions shall otherwise apply in full.

(a) Definitions

(i) “Buconic” means Buconic Logistics Limited, including its subsidiaries, related companies, agents, subcontractors, drivers, and authorised representatives operating in Uganda and the East African region.

(ii) “Customer / User” means any individual, company, partnership, organisation, or entity, including its officers, employees, agents, principals, consignors, consignees, insurers, financiers, buyers, sellers, or representatives, to whom Buconic provides Services.

(iii) “Customer” includes all persons or entities with an interest in the Goods or Services, and it is the Customer’s responsibility to bring these Conditions to the attention of such parties.

(iv) “Days” means calendar days unless expressly stated otherwise.

(v) “Documentation” means all information, documents, data, declarations, instructions, permits, licences, specifications, and records supplied by or on behalf of the Customer, whether in written, electronic, or oral form.

(vi) “Information” means all data to which any business conducted under these Conditions relates.

(vii) “Services” means all logistics, transportation, trucking, haulage, fleet management, tracking, coordination, consulting, digital platform, and related services provided by Buconic, whether directly or through third parties.

(viii) “Service Provider” refers to Buconic in its capacity as provider or arranger of Services.

(b) Application & Severability

These Conditions apply to all Services provided by Buconic unless expressly varied in writing.

If any provision is held invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed and the remaining provisions shall remain in full force. The Parties shall replace the invalid provision with a lawful provision that most closely reflects the original commercial and legal intent.

(c) Buconic as Service Provider

Buconic acts as a logistics service provider, coordinator, or arranger of services. Where Buconic arranges Services performed by third parties, Buconic acts solely as agent for the Customer and shall be liable only for the reasonable selection and instruction of such third parties. In all other respects, Buconic acts as an independent contractor and does not assume responsibility for acts or omissions of third parties beyond such reasonable selection.

(d) Quotations Not Binding

All quotations, rates, estimates, transit times, or schedules provided by Buconic are indicative only and subject to change without notice. No quotation shall be binding unless expressly accepted in writing by Buconic. Charges may be adjusted to reflect changes in scope, fuel, tolls, border costs, regulatory requirements, or third-party charges.

“Rates quoted exclude insurance unless stated. Premium liability and cargo insurance are available upon request and acceptance of Buconic’s security and telemetry conditions.”

(e) Inclusion of All Terms & Instructions

Buconic shall perform Services based on the Documentation and instructions provided by the Customer. Buconic is not obliged to verify unstated requirements. Any ambiguity may be clarified at Buconic’s discretion. The Customer bears full responsibility for the accuracy and completeness of all instructions and Documentation.

(f) Third-Party Liability & Valuation

Third-party service providers may limit liability for loss or damage. Buconic shall only request excess valuation or additional coverage upon written instruction from the Customer and at the Customer’s cost. In the absence of such instruction, Services may be rendered subject to third-party liability limitations.

(g) Contract Timelines & Guarantees

Delivery times, transit schedules, and milestones are estimates only unless expressly guaranteed in writing. No implied guarantee shall arise from past performance or representations.

(h) Unforeseen Stoppages or Delays

Buconic shall not be liable for delays or interruptions caused by factors beyond its reasonable control, including border delays, government actions, traffic, weather, mechanical failure, labour disputes, or third-party performance. Adjustments to timelines shall be at the Customer’s risk and expense.

(i) Customer Undertakings

The Customer undertakes that:

(i) Goods and specifications comply with all laws and recognised standards;

(ii) All special precautions, permits, or regulatory requirements are disclosed in writing prior to commencement;

(iii) The Customer shall reimburse Buconic for all licences, fees, penalties, or charges incurred due to Customer instructions or non-compliance;

(iv) No Goods require special consent or licence unless disclosed in writing;

(v) Buconic’s liability is strictly limited as set out in these Conditions.

(j) Additional Charges & Reimbursements

Buconic is not responsible for incorrect third-party charges not caused by Buconic. The Customer shall reimburse Buconic for customs penalties, storage, demurrage, detention, fines, or additional handling costs incurred due to Customer actions or omissions.

(k) Contract Delivery & Performance

Special delivery or handling instructions are accepted only if confirmed in writing. Buconic’s liability for arranging such instructions shall not exceed the limits set out in these Conditions.

(l) Special Conditions & Indemnity

Where the Customer requires Services beyond Buconic’s standard scope or capability, Buconic bears no liability and the Customer shall indemnify Buconic against all resulting claims, costs, and consequences.

(m) Failure to Accept Delivery

If the Customer fails to accept delivery or completion, Buconic may hold the Goods at the Customer’s risk. After thirty (30) Days’ written notice, Buconic may sell or dispose of the Goods and apply proceeds against outstanding sums.

(n) Loss, Damage or Delay Notice

Any apparent loss or damage must be noted immediately upon delivery and notified in writing within fifteen (15) working days. Failure to do so creates a presumption of proper delivery.

(o) Limitation of Actions

Any claim must be notified in writing within fourteen (14) Days of awareness and commenced within applicable statutory or convention time limits, failing which the claim is time-barred.

(p) Reliance on Information Furnished

Buconic relies on Customer-supplied information without verification. The Customer shall indemnify Buconic for losses arising from inaccurate, incomplete, or delayed information.

(q) Disclaimer & Limitation of Liability

Services are provided “as is” and “as available”. Buconic shall not be liable for indirect or consequential losses. Buconic’s liability shall not exceed the lowest of actual proven loss, applicable statutory limits, or USD 100 per shipment, unless higher value is declared and accepted in writing.

Aggregate annual liability shall not exceed 10,000 SDR or 4% of revenue, whichever is lower.

(r) Insurance

Buconic has no obligation to insure Goods unless expressly agreed in writing. Any insurance arranged is subject to insurer terms and exclusions and Buconic acts solely as agent.

“Carrier liability is limited unless the Customer elects a Premium Liability or Insurance Option in writing prior to dispatch. No declaration or insurance request equals Standard Carrier Liability only.”

(s) Payment Terms

All charges are exclusive of taxes and duties. Late payments accrue interest at the statutory rate or 10% per annum. Buconic may suspend Services for non-payment.

(t) Indemnification

The Customer shall indemnify and hold Buconic harmless against all claims, losses, fines, penalties, and costs arising from Customer breach, misdeclaration, regulatory violation, or breach of Buconic’s Terms of Service, Privacy Policy, DPA, Driver Terms, and Cargo Liability Clauses.

(u) General Lien

Buconic shall have a general lien over all Goods, documents, and property of the Customer for monies owed and may sell such Goods after notice.

(v) Set-Off

Payments shall be made without set-off or deduction except where required by law.

(w) No Modification Unless Written

No amendment is valid unless in writing and signed by Buconic.

(x) Force Majeure

Buconic shall not be liable for failure or delay caused by events beyond reasonable control, including strikes, unrest, disasters, border closures, or government actions.

(y) Governing Law & Jurisdiction

These Conditions are governed by the laws of Uganda. The courts of Uganda shall have exclusive jurisdiction.
