Welcome to Buconic Logistics Limited (“Buconic”, “we”, “us”, or “our”).

By accessing or using any Buconic service, platform, application, website, fleet-tracking system, telematics solution, or related product (collectively, the “Services”), you agree to be bound by these Terms of Service & Use (“Terms”). Please read them carefully.

Our Services are diverse and operationally complex. Accordingly, additional terms, service-specific conditions, safety rules, regulatory requirements, or contractual provisions may apply. Where applicable, such additional terms form part of your agreement with Buconic.

a) Buconic Products, Services & Solutions

For purposes of these Terms, “Buconic Products, Services & Solutions” include, without limitation:

  • Logistics and transportation services
  • Local and cross-border trucking and haulage
  • Fleet management, GPS tracking, telematics, and monitoring systems
  • Customer portals, driver applications, dashboards, and APIs
  • Booking, dispatch, delivery confirmation, and reporting tools
  • Digital platforms, software, hardware, infrastructure, and networks
  • All content, designs, trademarks, logos, text, images, data structures, software, and materials owned or licensed by Buconic

Buconic Services may enable users to store or transmit operational, shipment, account, or related information, including addresses, delivery details, vehicle data, and tracking information, for the purpose of executing logistics services.

Where Buconic facilitates interaction between you and a third party (including customers, consignees, drivers, subcontractors, customs agents, insurers, or technology providers), Buconic is not a party to the underlying transaction unless expressly stated in writing. Any disputes relating to such third-party transactions must be resolved directly with the relevant third party.

You acknowledge and agree that:

  • Information provided through Buconic Services is provided by you or on your behalf
  • You are solely responsible for the accuracy, completeness, and timeliness of such information
  • Buconic may perform validation checks but does not guarantee accuracy

b) Service Eligibility & Access

Buconic Services are available to:

  • Individuals and entities of legal age and capacity in their jurisdiction
  • Businesses and organisations authorised to engage in logistics or transport activities
  • Drivers, contractors, and representatives authorised by an account holder

Access to Buconic Services from jurisdictions where such access is illegal or restricted is prohibited.

Buconic reserves the right, at its sole discretion, to:

  • Refuse, suspend, restrict, or terminate access
  • Modify eligibility requirements
  • Disable accounts or access credentials

Certain Services may require downloadable software or mobile applications, which may update automatically. You agree to such updates as part of continued use.

You may not:

  • Copy, modify, distribute, sell, lease, or sublicense any Buconic software
  • Reverse engineer or attempt to extract source code
  • Circumvent security or access controls

c) Accounts, Credentials & Responsibility

Some Buconic Services require an account (“Account”), which may be created directly by you or assigned by an organisation or administrator.

You are responsible for:

  • Maintaining confidentiality of credentials
  • All activity conducted through your Account
  • Ensuring access is used lawfully and safely

Administrators may have the ability to manage, restrict, or disable Accounts.

You grant Buconic a worldwide, non-exclusive, royalty-free licence to use, host, store, process, reproduce, modify, and display content or data you submit solely for the purpose of operating, improving, and delivering the Services.

d) Operational Use, Safety & Compliance

You agree to use Buconic Services in compliance with:

  • All applicable laws and regulations
  • Road safety, transport, customs, and labour laws
  • Industry best practices

Where Services are accessed via mobile devices or vehicle-mounted systems:

  • They must not be used in a manner that distracts drivers
  • Drivers must comply with traffic, safety, and rest regulations

Buconic is not responsible for driver conduct, regulatory breaches, or unsafe use of vehicles unless expressly agreed otherwise.

e) Security & Data Protection

Buconic implements reasonable technical and organisational measures to protect data from loss, misuse, or unauthorised access. This may include access controls, encryption, and secure environments.

However, you acknowledge that no system is completely secure, and you use the Services at your own risk.

f) Privacy Policy

Buconic’s collection and use of personal data is governed by the Buconic Privacy Policy & Data Protection Notice, which forms an integral part of these Terms.

By using the Services, you consent to such processing in accordance with the Privacy Policy.

g) Intellectual Property & Copyright

All rights, title, and interest in Buconic Products, Services & Solutions remain with Buconic, its affiliates, or licensors, and are protected by applicable intellectual property laws.

Nothing in these Terms grants you any right to use Buconic trademarks, logos, or branding without prior written consent.

Buconic responds to claims of intellectual property infringement and may suspend or terminate accounts of repeat infringers.

h) Changes, Suspension & Termination

Buconic may modify, suspend, or discontinue any Service at any time.

Buconic grants you a limited, revocable, non-exclusive, non-transferable licence to use the Services, which may be suspended or terminated at Buconic’s discretion.

Upon termination:

  • Your access rights cease
  • Certain provisions (including liability, IP, disclaimers, and governing law) survive

i) Disclaimers, Warranties & Limitation of Liability

Buconic Services are provided “as is” and “as available”, without warranties of any kind, whether express or implied.

Buconic does not guarantee:

  • Continuous availability
  • Error-free operation
  • Suitability for specific purposes

To the fullest extent permitted by law:

  • Buconic shall not be liable for indirect, incidental, consequential, or special damages
  • Buconic shall not be liable for delays, losses, damages, or failures caused by third parties, force majeure events, or operational disruptions

Buconic’s total cumulative liability shall not exceed the fees paid to Buconic for the relevant Service, or USD 100 (or local equivalent), whichever is lower, unless prohibited by law.

Nothing in these Terms excludes liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Liability that cannot legally be excluded

j) Force Majeure

Buconic shall not be liable for failure or delay caused by events beyond its reasonable control, including but not limited to natural disasters, strikes, border closures, government actions, system outages, or acts of terrorism.

k) Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Uganda.

The courts of Uganda shall have exclusive jurisdiction.

l) General Provisions

  • These Terms constitute the entire agreement regarding use of the Services
  • No waiver is effective unless in writing
  • If any provision is unenforceable, remaining provisions remain in effect
  • These Terms do not create third-party beneficiary rights

SCHEDULE 1

Customer-Specific Terms of Service

(Applicable to Shippers, Consignors, Consignees, and Contract Customers)

These Customer-Specific Terms supplement the Buconic Logistics Limited Terms of Service & Use (“Master Terms”). In the event of conflict, these Customer-Specific Terms prevail for customer relationships.

1. Scope of Services

Buconic provides logistics and transportation services including trucking, haulage, fleet management, tracking, and related services subject to availability, operational constraints, and regulatory requirements.

Buconic acts as:

  • A carrier, contract carrier, or logistics service provider, only where expressly agreed in writing; or
  • Otherwise, as a facilitator or coordinator of logistics services involving third parties.

2. Customer Obligations

The Customer warrants that:

  • All cargo descriptions, weights, dimensions, values, and documentation are accurate and complete
  • Cargo is properly packed, labelled, and secured for road and cross-border transport
  • Cargo complies with all applicable laws (customs, safety, hazardous goods, sanctions, etc.)
  • No prohibited, illegal, or dangerous goods are tendered without prior written disclosure and approval

Buconic shall not be liable for losses arising from inaccurate or incomplete information provided by the Customer.

3. Dangerous, Restricted & High-Value Goods

Customers must declare in writing any:

  • Dangerous goods
  • Perishables
  • Fragile cargo
  • High-value goods
  • Time-sensitive cargo

Buconic reserves the right to refuse, suspend, or impose special conditions on such cargo.

4. Delivery Windows & Delays

Delivery times provided by Buconic are estimates only, unless expressly guaranteed in writing.

Buconic shall not be liable for delays caused by border procedures, government actions, traffic, weather, road conditions, mechanical failure, or force majeure events.

5. Payment, Charges & Lien

All charges are payable in accordance with agreed terms.

Buconic reserves a general lien over cargo and documents for unpaid freight, storage, demurrage, and ancillary charges.

Buconic may retain or dispose of cargo in accordance with law to recover outstanding sums.

6. Insurance

Unless expressly agreed in writing:

  • Buconic does not provide cargo insurance
  • Customers are responsible for arranging their own insurance

Any assistance provided by Buconic in procuring insurance is administrative only and does not create liability.

SCHEDULE 3

Cargo Liability, Risk & Limitation Clauses

(Applicable to All Customer Contracts & Platforms)

1. Assumption of Risk

Cargo is transported at the Customer’s risk, except where loss or damage is directly caused by Buconic’s proven gross negligence or wilful misconduct.

2. Limitation of Cargo Liability

To the fullest extent permitted by law, Buconic’s liability for loss of or damage to cargo is limited to the lowest of:

  • The actual proven value of the cargo lost or damaged;
  • The amount recoverable under any applicable compulsory transport law; or
  • USD 100 (or equivalent local currency) per shipment, unless a higher value is declared in writing and accepted by Buconic with additional charges.

3. Excluded Losses

Buconic shall not be liable for:

  • Indirect or consequential losses
  • Loss of profits, market, or business opportunity
  • Delay damages or penalties
  • Loss caused by inherent nature of cargo
  • Loss caused by inadequate packing, labelling, or documentation
  • Loss caused by acts or omissions of third parties

4. Claims & Notice Period

Any claim must:

  • Be notified in writing within 7 days of delivery or expected delivery
  • Include supporting documentation
  • Be time-barred if not commenced within 6 months

Failure to comply extinguishes the claim.

5. Force Majeure (Cargo)

Buconic shall not be liable for cargo loss or delay caused by:

  • Natural disasters
  • War, strikes, civil unrest
  • Border closures or customs actions
  • Government restrictions
  • Acts of terrorism
  • Road or infrastructure failure

6. Indemnity by Customer

The Customer shall indemnify and hold Buconic harmless against:

  • Claims arising from inaccurate cargo declarations
  • Regulatory penalties
  • Third-party claims related to cargo contents
  • Breach of customer warranties

7. No Deviation Doctrine Waiver

Any deviation from route, schedule, or mode of transport does not increase Buconic’s liability and shall not void contractual protections.
